Terms of Service

1. Service Description

Brinley Field is a B2B field service management software-as-a-service (SaaS) platform operated by LumaNavi LLC (“Brinley,” “we,” or “us”). The platform provides tools for scheduling, dispatch, job management, customer communication, invoicing, and related field operations for business customers (“Organizations”).

Access to Brinley Field is sold on a subscription basis to Organizations. Individual users access the platform as members of an Organization account.

2. Account Responsibilities

The Organization administrator (“Admin”) is responsible for all activity that occurs under the Organization's account, including the actions of individual users the Admin provisions. The Admin must ensure that all users comply with these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for any unauthorized access that results from failure to do so. Please notify us promptly at support@brinleyfield.com if you believe your account has been compromised.

3. Acceptable Use

You may use Brinley Field only for lawful business purposes and in accordance with these Terms. You may not:

• Reverse engineer, decompile, or disassemble any part of the platform
• Use the platform to store, transmit, or process illegal content or data obtained without authorization
• Attempt to gain unauthorized access to other Organizations' data or to the platform's underlying systems
• Use the platform in a way that could damage, disable, overburden, or impair its operation or interfere with other users
• Resell, sublicense, or make the platform available to third parties without our prior written consent
• Use automated means to access the platform in a way that exceeds reasonable use or circumvents platform limits

4. Payment Terms

Subscription fees are billed on a recurring basis (monthly or annually, as selected at signup) via Stripe, our payment processor. By subscribing, you authorize Stripe to charge your payment method on the applicable billing cycle.

Fees are non-refundable except at Brinley's sole discretion or as required by applicable law. If you believe a charge was made in error, contact us within 30 days of the charge at support@brinleyfield.com.

Failure to maintain a valid payment method on file may result in suspension of access. We will provide reasonable notice before suspending service for non-payment.

5. Data Ownership

Your Organization owns the data you input into Brinley Field, including customer records, job data, invoices, and files (“Organization Data”). We do not claim ownership of Organization Data.

LumaNavi processes Organization Data on your behalf as a data processor, subject to our Privacy Policy and applicable data processing agreements. We do not sell Organization Data and do not use it for behavioral advertising.

6. Limitation of Liability

To the maximum extent permitted by applicable law, LumaNavi's total liability to you for any claim arising under or related to these Terms or the Brinley Field platform shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

In no event shall LumaNavi be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Brinley Field is provided “as is” and “as available.” We make no warranties, express or implied, regarding the platform's fitness for any particular purpose, merchantability, or uninterrupted availability.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wisconsin.

8. Termination

Either party may terminate the subscription at any time. Termination by the Organization takes effect at the end of the current billing period; access continues through that date.

LumaNavi may terminate or suspend access for material breach of these Terms, with notice where reasonably practicable. We may terminate immediately for violations of the Acceptable Use section or behavior that poses a security risk to the platform or other users.

Following termination, your Organization Data will be available for export for thirty (30) days. After that window, we may delete Organization Data from our systems in accordance with our data retention practices described in the Privacy Policy.

9. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least thirty (30) days' advance notice via email to the Organization Admin or via a prominent notice in the platform. Continued use of Brinley Field after the effective date of updated Terms constitutes acceptance of those Terms.

If you do not agree to updated Terms, you may terminate your subscription before the effective date.
